Terms of Service

These Terms govern your use of Marginly, the financial-analytics service for Amazon sellers operated at marginlyapp.com. By creating an account or using the service, you agree to them. If you don't agree, don't use the service.

1. The service

Marginly connects to your Amazon Seller account with your consent, ingests your sales, settlements, fees, and inventory data, and computes analytics — net profit per SKU, marketplace summaries, demand maps, custom charts, price experiments — that we present to you in a web and mobile UI.

We may suspend or terminate accounts that violate these rules, with or without notice depending on severity.

4. Your data

You retain all rights in the data you upload or connect to Marginly. You grant us a non-exclusive, worldwide, royalty-free license to host, store, transmit, copy, modify, derive insights from, and display that data solely to provide and improve the service for you. We do not use your data to train models that benefit other customers, we do not sell your data, and we do not share it with third parties except the subprocessors listed in the Privacy Policy.

You are responsible for the legality of the data you upload — including for ensuring you have the right to connect the Amazon Seller account you authorize.

We aim for high availability but do not guarantee an uptime SLA in this version of the Terms. We may perform maintenance that briefly interrupts service. Material outages will be posted at marginlyapp.com or by email. If a paid customer experiences extended downtime that we caused, contact support@marginlyapp.com and we will consider a service credit.

7. Third-party services

Marginly integrates with Amazon, Google (sign-in and Google Cloud hosting), Stripe / Apple / Google Play (billing), and SendGrid (email). Those services have their own terms and privacy policies, and changes they make can affect what Marginly can deliver. We are not responsible for the acts or omissions of third parties.

Important — please read.

Marginly provides analytics; it does not provide financial, tax, legal, accounting, or investment advice. The accuracy of our analytics depends on the accuracy and completeness of the data we receive from Amazon and the data you enter (e.g. cost of goods sold). Numbers may be wrong if Amazon's data is delayed, your COGS entries are incomplete, or our computation has a bug. Always verify before making material business decisions.

The price-experiments feature changes prices on your Amazon listings on your behalf. You configure the guardrails (max change, minimum margin, minimum inventory) and confirm each experiment before it runs. Marginly is not responsible for revenue impact resulting from price experiments you authorized.

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the service will be uninterrupted, secure, or error-free, except as required by law.

9. Limitation of liability

To the maximum extent permitted by law, Marginly is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the service — even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or related to these Terms or the service will not exceed the greater of (a) the amounts you paid to Marginly in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

Some jurisdictions don't allow certain disclaimers or limitations — in those, the limits above apply only to the extent permitted.

10. Indemnification

You agree to defend, indemnify, and hold Marginly harmless from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the service, (b) your data, (c) your violation of these Terms or any law, or (d) your violation of any third-party right (including Amazon's terms).

11. Termination

You may terminate your account at any time from Settings → Delete account. We may suspend or terminate your access if you materially breach these Terms, if we are required to by law, if we discontinue the service, or if your account has been inactive for an extended period.

On termination: you retain a 30-day grace period during which you can export your data or restore the account. After 30 days we delete active data per the schedule in the Privacy Policy.

Sections that by their nature should survive termination (Your data, Disclaimers, Limitation of liability, Indemnification, Governing law) do survive.

12. Changes to these Terms

We may update these Terms. Material changes are announced by email to account holders at least 30 days before they take effect; routine clarifications and legal/security-mandated updates may take effect immediately. The "Last updated" date at the top of this page reflects the current version. Continued use after a change takes effect means you accept it.

13. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction for any dispute arising out of or related to these Terms or the service, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual-property rights or confidential information.
